Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (as an individual or on behalf of a company, "Client" or "you") and GadaHQ Platforms LLC ("GadaHQ", "we" or "us") governing your access to and use of the GadaHQ platform and related services.

By creating an account, accessing a GadaHQ portal, or using any of our services, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the services.

The Services

GadaHQ provides a cloud-based, multi-tenant Human Resources Management System (HRMS) accessible via unique client subdomains (e.g. yourcompany.gadahq.com). The platform includes core HR functionality and optional addon modules available through the marketplace.

We reserve the right to modify, update or discontinue any feature or module at any time with reasonable notice. Material changes affecting paid features will be communicated to affected clients at least 30 days in advance.

Accounts & Responsibilities

When you register for GadaHQ, you are creating an administrator account for your company. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the security of your admin credentials.
  • All activity that occurs under your account, whether by you or by users you have granted access to.
  • Ensuring that all users within your portal comply with these Terms.
  • Notifying us immediately at security@gadahq.com if you suspect unauthorised access to your account.

Each company is entitled to one GadaHQ portal under their chosen subdomain. You may not create multiple accounts to circumvent plan limitations.

Acceptable Use

You agree to use GadaHQ only for lawful purposes and in accordance with these Terms. You must not:

  • Use the platform to store, process or transmit any data that is unlawful, harmful, defamatory, discriminatory or that violates any person's rights.
  • Attempt to gain unauthorised access to any part of the platform, other client environments, or GadaHQ's infrastructure.
  • Introduce malicious code, viruses or other harmful software into the platform.
  • Reverse-engineer, decompile or attempt to extract the source code of the platform.
  • Use the platform in any way that could damage, disable, overburden or impair our services.
  • Resell or sublicense access to GadaHQ to third parties without our written consent.
  • Use automated tools to scrape, crawl or extract data from the platform.
Violation of acceptable use policies may result in immediate suspension or termination of your account without refund.

Billing & Payment

GadaHQ offers subscription plans billed on a monthly or annual basis, as well as one-time or recurring charges for addon modules. All fees are as stated on our pricing page at the time of purchase.

Payment processing: Payments are processed via Paystack (for Nigerian and African clients) or Stripe (for international clients). By providing payment details, you authorise us to charge the applicable fees.

Renewals: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

Upgrades: Upgrading your plan takes effect immediately. You will be charged a pro-rated amount for the remainder of your current billing period.

Downgrades: Downgrading takes effect at the start of your next billing period.

Refunds: We do not offer refunds for partial months or unused periods, except where required by applicable law. If you believe you have been incorrectly charged, contact us within 30 days at billing@gadahq.com.

Failed payments: If a payment fails, we will attempt to charge again. After three failed attempts, your account may be suspended until payment is resolved.

Free Plan

The Basic plan is offered free of charge with no time limit. It includes Employee Management and Leave Management modules. We reserve the right to modify the features included in the free plan with 60 days' notice to existing free plan users.

Data Ownership

You retain full ownership of all data you enter into GadaHQ, including employee records, payroll data, documents and any other content. GadaHQ does not claim any ownership rights over your data.

You grant GadaHQ a limited, non-exclusive licence to process and store your data solely for the purpose of providing the services to you. We will never use your HR data for advertising, third-party profiling or to train AI/machine learning models.

Upon termination of your account, you will have 30 days to export your data. After this period, your data will be permanently deleted from our systems.

Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the services. GadaHQ will not disclose your company's data to any third party except as permitted under our Privacy Policy or as required by law.

Intellectual Property

GadaHQ and all associated software, code, designs, trademarks, logos and documentation are the exclusive intellectual property of GadaHQ Platforms LLC. Nothing in these Terms grants you any ownership rights in the platform or its underlying technology.

Addon modules built as custom development for a client remain the intellectual property of GadaHQ. The client is granted a perpetual, non-exclusive licence to use the module for their internal purposes for as long as their account is active.

Uptime & Support

We aim to maintain high availability of the GadaHQ platform. We do not guarantee 100% uptime. Planned maintenance will be communicated in advance where possible.

Support is available via the in-portal support channel and at support@gadahq.com. Response times vary by plan. Enterprise clients with an active SLA agreement are subject to the terms of that agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, GadaHQ's total liability to you for any claims arising out of or related to these Terms or the services shall not exceed the total amount paid by you to GadaHQ in the 12 months preceding the claim.

GadaHQ is not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunities, even if we have been advised of the possibility of such damages.

You are solely responsible for ensuring that your use of GadaHQ complies with applicable employment law, data protection law and any other regulations in your jurisdiction. GadaHQ provides a technical platform and does not provide legal, HR, payroll or tax advice.

Termination

By you: You may cancel your account at any time from your portal's Settings > Billing page. Cancellation takes effect at the end of your current billing period.

By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay outstanding fees, or if we reasonably believe your use of the platform poses a security or legal risk.

Effect of termination: Upon termination, your access to the platform ceases. Your data will be retained for 30 days and then permanently deleted. You are responsible for exporting your data before cancellation takes effect.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

International clients may be subject to additional local legal requirements. Where local mandatory consumer protection laws apply, those laws will prevail over these Terms to the extent of any conflict.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify active clients by email at least 14 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.

If you do not accept the revised Terms, you may cancel your account before the effective date.
